Corporate & Transaction Law Clerk – Entry Level (Newport Beach)
The Attorney will perform the following:
Active participation in preparation and review of agreements relating to various transactional and financing matters;
Involved in private equity and debt financings;
Conduct research into a variety of transactional legal issues;
Form corporations and limited liability companies in various states;
Preparation of amendments, withdrawals and dissolutions of corporations and limited liability companies in various states;
Prepare and file documents with the Secretary of State, Internal Revenue Service, and Franchise Tax Board;
Prepare stock certificates, maintain capitalization tables and stock records;
Prepare board and stockholder resolutions;
Create and maintain corporate minute books;
Preparation of documents for closing of various corporate transactions;
Preparation of closings for various corporate transactions, including closing binders;
Due Diligence handling;
Intellectual property filings;
Preparation of contracts and agreements;
Research and analyze legal statutes;
Draft correspondence;
Client contact;
Other duties as assigned
We would like to see:
• One year transactional attorney experience in law firm representing private clients in transactional and financing matters;
• Previous experience in registered and unregistered offerings of equity and debt;
• Previous transactional paralegal experience a plus
• JD degree mandatory
• Ability and willingness to take on significant responsibility for deal management and work product
• Must be available for 20 plus hours per week
• Superior drafting skills required
• Law review experience a plus
• Active Member of California State Bar
• Computer literate, including strong Internet research skills
• Flexible attitude
• Ability to manage several simultaneous projects under deadline pressure required
• Strong verbal and analytical skills
This is a contract position. Competitive hourly or monthly rate commensurate with experience.
